Tester's Agreement

PalOMoney Tester Agreement

This agreement is between PalOMoney.com and the person written below (“Tester”).

PalOMoney is the name of an experimental software package ( “Software”) created, manufactured, and distributed by PalOMoney.com. The Software is being distributed for use only by individuals (“Testers”) that have been selected by PalOMoney.com to participate in the PalOMoney Testing Program (“Testing Program”). Neither the Software nor a license to use the Software license is being sold.

The Software is accompanied by Knowledge Base (“Wiki”), Support Forums (“Support”), and Discussion Forums on the PalOMoney.com web site (“Web Site”).

Agreement

Tester agrees to test the software and report experiences to the appropriate forum or private message on PalOMoney.com. Tester agrees to back up all of Tester's Microsoft Money data (.mny) files prior to opening them in the Software. Tester agrees to not copy or distribute the Software, except for backup purposes. Tester agrees that the software is the confidential property of PalOMoney.com.

In exchange for Tester's acceptance of this agreement, PalOMoney.com grants the Tester the right to install and use the Software for testing on up to three (3) of Tester’s own computers, except as described under the Licensing and Termination sections below.

No Warranty

The Software is being distributed with out warranty of any kind. The Software or its use may conflict with existing software licenses. The Software is experimental software, which is risky, and almost always contains flaws (“Bugs”) and deficiencies, some of which may be serious, and could lead to disruption, damage, or destruction of computers, network, financial and other data.

Tester agrees to assume the risk for any problems, loss, or damages caused by the Software or Support, or by participating on the Web Site. Tester agrees to hold PalOMoney.com, its developers, vendors, and owners harmless for any and all loss and damages arising out of the use of the Software, Support, and Web Site.

Licensing

The Software and the road map for PalOMoney development necessarily involves updating Tester's Microsoft Money database files, which the format of and interfaces to are proprietary to Microsoft Corporation and its affiliates. Future enhancements are expected to essentially modify (or “patch”) the Microsoft Money software in a way that may not be permitted under the various Money licenses to which the Tester or any entity may be subject. The licensing issues mentioned here are an important target of the development process of which Tester is a participant.

PalOMoney.com does not guarantee that use of the PalOMoney software or services does not violate any terms of the Tester’s software licenses under which the Tester may be obligated. PalOMoney.com may, but is not obligated to, notify the Tester of any potential violations of which PalOMoney.com becomes aware.

The Tester is encouraged to read the Support forums so that they can be aware of any such licensing issues reported in the forum. The Tester may be obligated to discontinue using the Software should the Tester or PalOMoney.com become aware of any conflicts regarding the licensing of the Software or its use.

The Software distributed for testing includes copies of the Microsoft Visual Studio debug libraries that are not redistributable to end users. Microsoft permits these components to be installed only on computers for testing. It is the intent of this PalOMoney Tester Agreement to satisfy this condition to permit installation on Tester's computers.

Termination

PalOMoney.com and Tester may terminate this agreement at any time by sending email to the other party. Upon termination, Tester shall cease use of and uninstall the Software.

Tester's Acceptance
